by using our service you are accepting our Terms & Conditions
1. Definitions
“Service” means the Unblockly Google Sheets extension that returns prospecting tables and enriches uploaded company or personal data.
“User Data” means any data (including personal data) that you upload or generate through the Service.
“Free Credits” means the €10 equivalent of usage you receive upon sign‑up.
“Subscription Plan” refers to any paid monthly service tier granting a set number of credits.
2. Eligibility
You may be a business or an individual (B2B and B2C) and must be at least 18 years old and able to enter binding contracts.
3. Service, Subscription & Credits
Free Trial: Upon registration, you receive €10 in Free Credits, valid until used or until you subscribe to a paid plan.
Subscription Term: Plans are billed monthly and automatically renew until cancelled.
Credits Expiry: Unused credits expire at the end of each billing cycle; no rollover.
Cancellation & Refunds: You may cancel at any time; no charges occur after the current period, and you retain Service access until period end.
4. Pricing & Payment
Fees: Subscription fees (plus VAT) are set forth on our pricing page and billed via Stripe.
VAT: All fees are inclusive of applicable Dutch VAT under the EU One‑Stop‑Shop scheme.
Payment Method: We accept major credit cards processed through Stripe.
Late Payment & Suspension: No late fees, but we may suspend access for non‑payment.
5. Data Protection & GDPR
Role & Scope: You are the data controller of User Data; Scitodate is the data processor.
Data Processing Agreement: Incorporated herein to satisfy GDPR Article 28, detailing obligations on lawful processing, security measures, subcontracting, data‑subject rights, and deletion.
User Obligations: You warrant that you have lawful grounds to upload any personal data and that you comply with all data‑protection laws.
6. Intellectual Property
All IP rights in the Service, including software, content, and documentation, are owned by Scitodate B.V.
You retain ownership of your User Data; we claim no rights in your uploaded content.
You may not reverse‑engineer, copy, or redistribute the Service except as expressly authorised.
7. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from or relating to this Agreement is limited to the amount of fees paid by you in the 12 months preceding the claim.
We exclude liability for indirect, incidental, special, or consequential damages, except for liability arising from gross negligence, fraud, or willful misconduct.
8. Indemnification
You agree to indemnify and hold Scitodate B.V., its officers and affiliates harmless from any third‑party claims arising out of your use of the Service or breach of this Agreement.
9. Termination
Either party may terminate immediately upon material breach by the other.
Upon termination, your right to access the Service ends, but any accrued rights (e.g., unpaid fees) survive.
10. Governing Law & Dispute Resolution
This Agreement is governed by and construed in accordance with the laws of The Netherlands.
The courts of Rotterdam have exclusive jurisdiction over any dispute arising from this Agreement.
For B2C users, mandatory consumer‑protection rules apply; nothing in this clause limits such rights.
11. Miscellaneous
Amendments: We may update these Terms; material changes will be notified 30 days in advance.
Entire Agreement: This document, including the Data Processing Agreement, is the full agreement between you and Scitodate B.V.
